SimulaxAI is an AI-powered SOP simulation platform that converts PDF documentation into real-time, voice-guided and chat-based operational intelligence. Our services include document processing, AI-assisted procedure guidance, compliance tracking, and related enterprise features.

3. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Subscription and Payment

4.1 Pricing

Our pricing is displayed on our website. Prices are subject to change with 30 days notice. All fees are exclusive of applicable taxes unless otherwise stated.

4.2 Billing

Subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial periods, except as required by law.

5. User Content

You retain all rights to the SOPs, documents, and other content you upload to SimulaxAI ("User Content"). By uploading User Content, you grant us a limited license to process, store, and display it solely to provide the Service.

5.2 Content Restrictions

You agree not to upload content that:

• Infringes any intellectual property rights
• Contains malicious code or viruses
• Violates any applicable laws or regulations
• Contains confidential information you are not authorized to share

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to compete with SimulaxAI
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service without permission

7. Intellectual Property

The Service and its original content, features, and functionality are owned by SimulaxAI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SIMULAXAI IS A GUIDANCE TOOL AND DOES NOT REPLACE PROFESSIONAL JUDGMENT OR PROPER TRAINING.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMULAXAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless SimulaxAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
